Welcome to colawfitness.com (the “Site”), operated by Colaw Fitness (“Colaw Fitness,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the Site, including any content, functionality, and services offered on or through the Site.

  1. Acceptance of Terms

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Site. If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

You must be at least 18 years old to create an account or enter into any agreement through the Site. By using the Site, you represent and warrant that you meet this requirement.

  1. Changes to These Terms

We reserve the right to modify these Terms at any time in our sole discretion. When we make changes, we will update the “Last Updated” date at the top of this page. Material changes will be communicated through a notice on the Site or by other reasonable means. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

All content on this Site — including logos, page headers, images, illustrations, graphics, audio clips, video clips, and text (collectively, “Content”) – is subject to trademark, service mark, trade dress, copyright, and/or other intellectual property rights or licenses held by Colaw Fitness. The Content of the Site, and the Site as a whole, are intended solely for personal, non-commercial use by users of the Site.

You may download, print, and store selected portions of the Content, provided you:

  1. Use these copies of the Content only for your own personal, non-commercial use;
  2. Do not copy or post the Content on any network computer or broadcast the Content in any media; and
  3. Do not modify or alter the Content in any way, or delete or change any copyright or trademark notice.

No right, title, or interest in any downloaded materials is transferred to you as a result of any such downloading. Colaw Fitness reserves complete title and full intellectual property rights in any Content you download from this Site. “Colaw Fitness,” the Colaw Fitness logo, and “You Are Worth It!” are trademarks of Colaw Fitness. All other trademarks are the property of their respective owners.

  1. Prohibited Uses

You agree not to use the Site:

  • In any way that violates any applicable federal, state, local, or international law or regulation;
  • To transmit or procure the sending of any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation;
  • To impersonate or attempt to impersonate Colaw Fitness, a Colaw Fitness employee, another user, or any other person or entity;
  • To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which may harm Colaw Fitness or users of the Site;
  • To use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission;
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;
  • To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; or
  • To attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
  1. Your Account

Some portions of the Site may invite or require you to create an account and associated log-in credentials, and you may not be able to access certain content, features, functionalities, or services of the Site or member app (iOS or Android) without creating and logging into such an account.

You agree to provide true, accurate, and current information when creating an account, and you are responsible for updating your account information as needed to ensure it remains current. You are responsible for maintaining the confidentiality of your log-in credentials, and you acknowledge and agree that you are fully responsible and liable for all usage and activities that occur under your account, whether authorized by you or not. You agree to notify Colaw Fitness immediately if you know of or suspect any unauthorized use of your account or password or any other breach of security related to your account.

Notwithstanding anything to the contrary in these Terms, Colaw Fitness reserves the right to deny the creation of, suspend access to, or terminate any account(s), or to remove or modify content, features, functionalities, and/or services available to account holders, at any time in its sole discretion and without prior notice or liability to you.

  1. Membership Agreements

Use of the Site does not by itself create a gym membership. Gym memberships, personal training services, and other in-club services are governed by separate written agreements between you and Colaw Fitness. In the event of any conflict between these Terms and your membership agreement, the terms of your membership agreement will control with respect to your membership.

Online sign-up offers, promotions (including but not limited to “Bring a Friend Free” and “Month(s) Free” promotions), and pricing displayed on the Site are subject to change without notice and may be subject to additional terms, conditions, and eligibility requirements disclosed at the time of sign-up.

  1. Submissions

We welcome your feedback regarding the Site and our club locations. Any comments, feedback, notes, messages, ideas, suggestions, or other communications (collectively, “Comments”) you send to Colaw Fitness are non-confidential. By submitting Comments, you grant Colaw Fitness a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, and display such Comments for any purpose, in any media now known or later developed, without compensation to you. You represent and warrant that you own or otherwise control all rights to the Comments you submit and that your Comments do not violate the rights of any third party.

Please do not send us any Comments containing confidential information or original creative materials (such as stories, product ideas, computer code, or original artwork) that you do not wish to share under the terms above.

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Colaw Fitness. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Colaw Fitness shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.   1. Indemnification

You agree to defend, indemnify, and hold harmless Colaw Fitness, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your Comments, any use of the Site’s content, services, and products other than as expressly authorized in these Terms.

  1. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Oklahoma, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the state or federal courts located in Oklahoma. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

  1. Termination

We may terminate or suspend your access to all or part of the Site, without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms or any applicable law, or is otherwise harmful to the interests of another user, third party, or us.

The provisions of these Terms concerning Intellectual Property, Submissions, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution shall survive any termination of your access to the Site.

  1. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

  1. Entire Agreement

These Terms, together with our Privacy Policy and any membership agreement or other agreement you enter into with Colaw Fitness, constitute the entire agreement between you and Colaw Fitness regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
